From a Shell spin-off to a €55 million capital increase: 26 years of innovation, investment and financial challenges
27 October 2026 | Financial Analysis
Dutch renewable-chemistry company Avantium has announced a €55.45 million rights offering to address its working capital shortfall, finance the ramp-up of its FDCA flagship plant and support commercialization.
The announcement comes 26 years after the company’s foundation, nine years after its initial public offering, and almost two years after the inauguration of its flagship factory in Delfzijl.
Avantium has attracted substantial private investment, stock-market financing, public subsidies and government-backed loans. Yet its transition from technology developer to industrial producer has proven more expensive and time-consuming than originally anticipated.
A review of Avantium’s financial and industrial history provides useful context for understanding today’s announcement.
1. The History of Avantium: 2000–2026
February 2000 — Foundation and €30 million initial capital
Avantium was established as a spin-off from Royal Dutch Shell, initially specializing in high-throughput research and catalysis.
Its founding partners included Shell Chemicals, SmithKline Beecham and GSE Systems. Contemporary reporting identified approximately €30 million in initial capital.
At this stage, Avantium was privately financed and not listed on a stock exchange.
2006–2011 — Development of YXY Technology
In 2006, Avantium achieved proof of principle for its YXY technology, designed to convert plant-based sugars into chemical building blocks.
In 2011, the company opened its FDCA pilot plant in Geleen, an important milestone in developing polyethylene furanoate (PEF), a biobased polyester.
That same year, Avantium announced €30 million in financing, including €25 million from investors and €5 million in Dutch subsidy and innovation-credit support.
2016–2019 — BASF partnership and stock-market listing
In October 2016, Avantium formed Synvina, a joint venture with BASF intended to commercialize FDCA and PEF technology.
On 15 March 2017, Avantium completed its initial public offering on Euronext Amsterdam and Brussels.
The IPO initially raised approximately €103 million. Following the partial exercise of the over-allotment option, gross proceeds increased to €109 million.
The shares were offered at €11 each. Based on the first trading price of €11.65, Avantium’s market capitalization reached approximately €310 million.
In January 2019, Avantium regained full ownership of Synvina, bringing its FDCA commercialization activities back under its control.
April 2021 — €28 million capital increase
Avantium raised €28 million through an accelerated bookbuild offering, securing additional financing for its renewable-chemistry activities.
December 2021 – April 2022 — The flagship plant becomes reality
On 9 December 2021, Avantium announced its final investment decision to construct the world’s first commercial-scale FDCA plant in Delfzijl.
The facility was designed to produce approximately 5,000 tonnes of FDCA annually.
The project was supported by a €90 million debt-financing arrangement, followed by a €45 million equity raise in April 2022.
Construction officially began in April 2022.
2023 — Construction costs escalate
During 2023, Avantium faced increasing construction expenditure, inflationary pressures and supply-chain challenges.
By December 2023, the factory’s construction-related capital expenditure budget had risen to approximately €149 million.
The wider renewable-polymers project required additional financing for industrial development, commissioning and commercialization.
February 2024 — €70 million capital increase
Avantium raised another €70 million through a combination of a rights offering and an institutional placement.
The additional capital was intended to support construction completion, commissioning and the company’s continuing operations.
22 October 2024 — Official inauguration of the flagship plant
Avantium officially inaugurated its FDCA flagship plant in Delfzijl.
Construction had taken approximately 30 months.
However, inauguration did not mean that the facility was already operating at commercial capacity.
The plant still needed to complete commissioning, testing, optimization and product qualification before continuous commercial production could begin.
December 2024 — Another €11 million raised
Avantium completed an additional €11 million accelerated bookbuild offering as part of a broader financing package.
2025 — Rising financing requirements
In March 2025, Avantium disclosed final construction-related capital expenditure of €189 million, compared with the previously reported estimate of €175 million.
The company also continued working through technical and commissioning challenges before production could begin.
In September 2025, Avantium completed another significant equity raise of €84.8 million, including a €15 million investment from the Dutch state.
2026 — Technical progress and continued financial pressure
In January 2026, Avantium reported additional commissioning challenges, notably defects involving titanium piping welds.
On 28 September 2026, the company announced that its flagship plant had successfully produced its first batch of FDCA.
This represented a major industrial milestone.
However, commercial deliveries had not yet commenced, and the company expected to begin sales toward the end of 2026.
The first batch arrived almost 23 months after the factory’s official inauguration.
27 October 2026 — New €55.45 million rights offering
Avantium has now announced the issuance of 33,608,956 new ordinary shares at €1.65 each.
The offering includes approximately €13.41 million in irrevocable shareholder commitments and cornerstone investments, while the remaining €42.04 million is underwritten.
The company has explicitly stated that the financing is intended to remedy a working capital shortfall and support the transition toward commercial production.
Avantium has also referred to a proposed €20 million loan from the Investment and Development Agency for the Northern Netherlands (NOM).
2. How Much Capital Has Avantium Raised?
Since its initial public offering in 2017, Avantium has repeatedly returned to the equity markets.
The following table summarizes the principal identified transactions.
| Year | Equity financing | Amount |
|---|---|---|
| 2017 | IPO, including over-allotment | €109M |
| 2021 | Equity placement | €28M |
| 2022 | Equity offering | €45M |
| February 2024 | Rights issue and placement | €70M |
| December 2024 | Accelerated bookbuild | €11M |
| September 2025 | Rights issue and placement | €84.8M |
| October 2026 | Announced rights offering | €55.45M |
| Total | Identified gross equity fundraising | €403.25M |
These figures represent selected major equity transactions and include the October 2026 offering, which has not yet been completed.
They exclude private financing before 2017, government subsidies, loans and any smaller equity transactions not included in the table. They therefore should not be interpreted as an exhaustive calculation of every euro raised throughout the company’s history.
Nevertheless, the cumulative scale of Avantium’s financing is considerable.
Including its reported €30 million founding capital, the company has attracted substantial investment over more than two decades, alongside borrowing and public financial support.
Importantly, equity capital raised is not equivalent to the company’s current valuation, accumulated expenditure or remaining cash.
3. Government Subsidies and Public Support
Public financing has played an important role in Avantium’s development.
According to the company’s September 2025 prospectus, Avantium had been unconditionally awarded approximately €70.7 million in government grants and subsidies as of 30 June 2025.
These awards supported various research and development activities, particularly the FDCA flagship project.
This figure represents grants and subsidies awarded, rather than necessarily the entire amount received in cash at that date.
It must also be distinguished from public loans and government equity investments.
For example, the Dutch state’s €15 million participation in Avantium’s September 2025 capital raise was an equity investment, not a grant.
Similarly, the proposed €20 million NOM financing announced in October 2026 would constitute loan financing rather than a non-repayable subsidy.
The distinction is essential when evaluating the extent of taxpayer support.
Government grants, equity investments, innovation credits and repayable loans carry different financial obligations and risks.
4. The FDCA Flagship Plant: Construction and Cost Overruns
The flagship plant in Delfzijl is central to Avantium’s commercialization strategy.
The original construction-related capital expenditure estimate was approximately €116 million.
By December 2023, that estimate had increased to around €149 million.
In March 2025, Avantium reported final construction-related capital expenditure of approximately €189 million.
On a comparable basis, the increase from €116 million to €189 million represents approximately €73 million, or 63%.
These figures should not be confused with the total expenditure on Avantium’s broader renewable-polymers activities, which also includes costs beyond the construction of the factory.
The timetable is equally revealing:
| Milestone | Date |
|---|---|
| Final investment decision | December 2021 |
| Construction begins | April 2022 |
| Official inauguration | 22 October 2024 |
| Major process units commissioned | September 2026 |
| First FDCA batch announced | 28 September 2026 |
| First commercial deliveries | Expected late 2026 |
The period between the plant’s inauguration and the announcement of its first FDCA batch was almost two years.
This delay illustrates the difficulties associated with commissioning first-of-a-kind industrial technology.
Building a factory and demonstrating that it can produce chemicals reliably, continuously and economically are distinct challenges.
5. Avantium’s Financial Position in 2026
Avantium’s latest published interim financial statements provide an important perspective on its financing requirements.
The company reported the following figures for the six months ending 30 June 2026:
| Financial indicator | Amount |
|---|---|
| Group revenue | €4.7M |
| EBITDA | −€18.8M |
| Cash, including restricted cash, December 2025 | €57.5M |
| Cash, including restricted cash, June 2026 | €23.9M |
| Reduction in cash position | €33.6M |
Avantium’s reported cash position declined by approximately 58% during the first half of 2026.
The reduction reflected operating expenditure, commissioning activities, technical remediation and other financing and investment cash flows.
It would be inaccurate to attribute the entire decline exclusively to construction expenditure.
The company continued generating revenue through its existing business activities, including research and development solutions. However, its flagship FDCA plant had not yet started the commercial deliveries anticipated under its offtake agreements.
The financial statements also contained a significant disclosure concerning the company’s ability to continue as a going concern.
Management identified material uncertainty related to going concern, with its assessment dependent on several conditions, including additional financing, successful industrial start-up, compliance with debt obligations and future product sales.
This disclosure does not mean that Avantium is insolvent or that bankruptcy is inevitable.
It does, however, demonstrate the importance of securing financing while the company transitions toward commercial production.
6. October 2026: Another Capital Increase
Today’s announcement places Avantium at another critical financial milestone.
The company intends to raise €55.45 million by issuing more than 33 million new shares.
Existing shareholders will have the opportunity to participate through a four-for-three rights offering. Those who do not participate face substantial dilution of their percentage ownership.
The issue price of €1.65 represents a 42.7% discount to the theoretical ex-rights price calculated using the closing share price of 26 October 2026.
Although the offering is fully committed and underwritten, its completion remains subject to applicable terms and conditions.
The proposed NOM loan could provide additional financial flexibility, but it should not be treated as funding already received.
The financing follows several years of rising capital requirements, commissioning difficulties and delays in commercial production.
At the same time, Avantium has achieved a significant technological milestone with the successful production of FDCA at industrial scale.
The central financial question is no longer simply whether Avantium can produce FDCA, but whether it can manufacture and commercialize the material at sufficient scale, reliability and profitability to reduce its dependence on external financing.
That distinction will be fundamental to understanding the next chapter of Avantium’s history.
The Future of Avantium: A Difficult Road Ahead
Despite Avantium’s technological achievements, I remain skeptical about its long-term financial prospects.
The company faces an enormous challenge. Its FDCA technology provides the building block for PEF, a biobased polyester intended to compete with conventional PET.
And PET is a seven-headed monster.
It benefits from decades of industrial development, enormous production capacity, established recycling infrastructure, economies of scale and a deeply entrenched position in global packaging markets.
Competing against such an industrial giant requires more than technological innovation. It demands competitive production costs, commercial reliability, customer acceptance and, above all, financial endurance.
PEF may offer certain technical advantages over PET, particularly its barrier properties. Research also suggests that PEF may exhibit lower molecular diffusion than PET, raising interesting questions about chemical migration in food-contact applications.
Whether these characteristics translate into meaningful toxicological advantages, particularly when recycling is involved, remains to be demonstrated.
Avantium may have developed a remarkable technology. Turning that technology into a financially sustainable business is an entirely different challenge.
Avantium’s Greatest Asset: Tom van Aken
Nevertheless, I believe Avantium possesses one particularly valuable asset: its CEO, Tom van Aken.
Whatever my reservations about the company’s financial performance, I believe Van Aken deserves considerable credit for his role in transforming Avantium from a technology development company into an industrial enterprise attempting to commercialize an entirely new polymer.
Building such a business requires vision, determination, perseverance and an extraordinary tolerance for uncertainty.
Van Aken did not establish Avantium single-handedly, but he has played a central role in its development.
In my opinion, Avantium’s supervisory board should recognize his contribution and ensure that he is appropriately rewarded and motivated to remain with the company.
If there is one person I would trust to guide Avantium through the difficult years ahead, it is Tom van Aken.
That does not guarantee success. Far from it.
However, replacing experienced leadership at such a critical stage could introduce additional risks into an already difficult situation.
A Personal Word to Tom van Aken
Over the years, I have been extremely critical of Avantium and, on occasion, of Tom van Aken personally.
Some of that criticism was influenced by my own experiences with the bioplastics industry, including a meeting at which Avantium was represented by two individuals and which I associate with efforts to boycott Bioplastics News and myself.
Those experiences affected my relationship with the company and, inevitably, the tone of some of my commentary.
However, I recognize that my criticism of Tom van Aken sometimes became unnecessarily personal.
I did not always behave as a gentleman towards him, and for that I would like to extend my sincere apologies.
My apology does not change my assessment of Avantium’s financial difficulties, its industrial challenges or its uncertain future.
But professional criticism and personal respect should never be mutually exclusive.
I can remain deeply skeptical about Avantium’s prospects while recognizing the determination and achievements of the man who has led the company for so many years.
And perhaps that is the greatest irony of this story.
I have considerably more confidence in Tom van Aken than I have in Avantium’s chances of commercial success.
